Terms of Service

These terms explain how you may access and use Edvise products, analytics, and communications tools to support students responsibly.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and Edvise Technologies (“Edvise,” “we,” or “us”) for your use of our websites, student success platform, analytics, messaging features, and related services (collectively, the “Services”). By accessing or using the Services, or by executing an order form, you agree to these Terms. If you are acting on behalf of an institution, you represent that you are authorized to bind that institution to these Terms.


2. Overview of the Services

Edvise provides student-centric observability and communication tools that help institutions surface risk signals, coordinate outreach, and deliver timely updates to students. Features may include data ingestion from your systems, dashboards, analytics, workflow automation, and messaging (email/SMS). We may offer pilot or beta features; those are provided as-is and may change or be discontinued at any time.


3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and have authority to agree to these Terms. Your institution is responsible for managing user access, keeping account credentials confidential, and ensuring users comply with these Terms. You are responsible for all activity under your accounts.


4. Customer Data and Privacy

You own and retain all rights to the data you provide to the Services, including student records, uploads, and communications content (“Customer Data”). You grant Edvise a limited license to store, process, and use Customer Data only as needed to deliver and improve the Services, fulfill legal obligations, and prevent abuse. We do not sell Customer Data.

We handle Customer Data in accordance with our Privacy Policy and, where applicable, any data protection addenda executed with your institution. You are responsible for providing any required notices and obtaining any necessary consents before supplying Customer Data to Edvise. When handling education records, Edvise acts as a “school official” under FERPA and follows institution-provided data governance requirements.


5. Messaging and Communication Terms

If you enable SMS or other messaging features, you represent that recipients have provided all necessary consents. Message frequency depends on your campaigns. Message and data rates may apply. Recipients may text STOP to opt out and HELP for assistance; you must honor opt-outs promptly. We use reputable providers (such as Twilio) to deliver messages and may process related metadata (delivery, engagement) to operate the feature.


6. Acceptable Use

When using the Services, you will not:

  • Use the Services in violation of applicable law (including FERPA, CAN-SPAM, TCPA, or student communications rules).
  • Upload or transmit content that is unlawful, discriminatory, harassing, or infringes others' rights.
  • Attempt to access other customers' data or disrupt the Services (e.g., probing, scanning, or overloading systems).
  • Introduce malware or use automated tools to scrape or reverse engineer non-public features.

We may suspend access for violations or to protect the security and integrity of the Services.


7. Security and Data Handling

Edvise implements administrative, technical, and physical safeguards appropriate to the sensitivity of Customer Data. We limit subprocessor use to trusted providers and require them to protect data under written agreements. If we become aware of unauthorized access to Customer Data in our possession, we will notify the affected institution without undue delay and cooperate on remediation, consistent with our incident response practices.


8. Availability, Support, and Changes

We target high availability but occasional maintenance or unforeseen outages may occur. We may update the Services to improve performance, security, or user experience. If a change materially reduces core functionality on a paid plan, we will provide reasonable notice and work with you on alternatives.


9. Fees and Payment

Fees, billing cycles, and usage limits (if any) are specified in your order form or online checkout. You agree to pay applicable fees and taxes. Late payments may incur finance charges or suspension of access. Except where prohibited by law or stated otherwise in an agreement, fees are non-refundable.


10. Intellectual Property

Edvise and its licensors retain all rights, title, and interest in the Services, including software, designs, and documentation. No ownership rights transfer to you under these Terms. You may provide feedback; we may use it without restriction or obligation.


11. Confidentiality

Each party will protect the other party's non-public information using reasonable safeguards and will use such information only to perform obligations under these Terms. This obligation does not apply to information that becomes public through no fault of the receiving party or that is independently developed without use of the disclosing party's confidential information.


12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED IN THESE TERMS, EDVISE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. ANALYTICS AND RISK SCORES PROVIDE DECISION SUPPORT ONLY; YOU ARE RESPONSIBLE FOR FINAL ACTIONS AND OUTCOMES.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDVISE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, OR LOSS OF DATA ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. EDVISE’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO EDVISE FOR THE SERVICES GIVING RISE TO THE CLAIM.


14. Indemnification

You will indemnify and hold harmless Edvise from claims, losses, or expenses arising out of your misuse of the Services, violation of law, or infringement of third-party rights. Edvise will defend and indemnify you from claims alleging that the Services infringe a third party’s U.S. intellectual property rights, provided you promptly notify us and allow us to control the defense; we may modify or replace the Services to resolve a claim.


15. Term, Suspension, and Termination

These Terms remain in effect while you access the Services. Either party may terminate for material breach if not cured within 30 days of notice. Edvise may suspend or terminate access immediately for security risks, unlawful use, or non-payment. Upon termination, your access will cease and we will delete or return Customer Data according to our data retention commitments and any applicable agreements.


16. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Denver, Colorado, and the parties consent to that venue, except where prohibited by applicable law.


17. Changes to These Terms

We may update these Terms to reflect changes in our Services, legal requirements, or best practices. When we do, we will revise the Effective Date above and, if changes are material, provide notice through the Services or by email. Continued use after changes become effective constitutes acceptance.
